Terms of Service

By downloading, installing, or using the DropFi mobile application ("App"), you agree to these Terms and Conditions ("Terms"). If you do not agree, you must refrain from using the App. These Terms constitute a legally binding agreement between you and DropFi LLC.

DropFi is a non-custodial digital wallet built on the XRP Ledger (XRPL). We facilitate users' interaction with the XRPL but do not hold or manage user assets. The app provides tools to generate and store cryptographic key pairs on your device and communicate with the XRPL. DropFi is not a financial institution, MSB, or VASP. No user funds are ever held by DropFi.

DropFi does not store, hold, or control digital assets. We do not have access to your private keys, recovery phrases, or wallet credentials and cannot recover lost keys or funds. If you lose your private key or recovery phrase, DropFi cannot restore access. You assume all risks. Transactions on the XRPL are final and irreversible.

You agree that you are at least 18 years old and capable of entering a binding legal agreement; will use the app in compliance with applicable laws; will not use it for illegal purposes including money laundering, terrorism financing, or fraud; are solely responsible for your wallet credentials and transactions; and will conduct your own due diligence and consult legal or tax advisors as needed.

You agree not to use the app to facilitate illegal transactions, distribute malicious software, use automated scripts, impersonate others, or use the app in a manner that could disable, damage, or impair it. Violation may result in immediate suspension or termination and legal action.

DropFi may integrate third-party APIs and tools (e.g., analytics, data services, blockchain APIs). We do not control or endorse these services. Your use is at your own risk. We are not liable for downtime, inaccuracies, or breaches from third-party services. You may be subject to additional terms from such parties.

DropFi does not offer investment, financial, or legal advice or guarantee performance of any digital asset or the XRPL. You must consult licensed professionals for investment decisions. All app content is for informational purposes only.

The app is provided "as is" and "as available" with no warranties, express or implied (including merchantability, fitness for a particular purpose, non-infringement). DropFi does not warrant that the app will be uninterrupted or error-free, secure, or free of harmful components, or that bugs will be resolved. Use at your sole risk.

To the fullest extent permitted by law, DropFi LLC, its affiliates, and its officers, directors, employees, or contractors shall not be liable for any direct, indirect, incidental, special, or consequential damages; loss of data, revenue, or profits; loss or theft of digital assets; user error; or downtime or issues with the XRPL. This applies even if DropFi was advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless DropFi LLC and its affiliates from any claim, liability, or expense (including reasonable attorneys' fees) arising from your use of the app, your violation of these Terms or applicable laws, or any dispute between you and another user or third party.

Disputes arising from these Terms or your use of the app will be resolved through binding arbitration under the rules of the American Arbitration Association, in Dallas, Texas. You waive the right to a trial by jury and to participate in class actions or collective proceedings. Exceptions: you may seek equitable relief in court (e.g., injunctive relief for IP infringement) without breaching this clause.

DropFi may suspend or terminate your access at any time, with or without notice, for breach of these Terms, risk to security or integrity of the app or XRPL, or compliance with law enforcement. You may stop using the app at any time. Termination does not relieve you of obligations incurred while using the app.

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws. Any legal action not subject to arbitration will be brought in the courts of Dallas County, Texas.

These Terms constitute the entire agreement between you and DropFi LLC. They supersede any prior agreements, communications, or representations. If any provision is found unenforceable, the remaining provisions remain in full force and effect.
